Royal Insurance Holdings plc was a large insurance business originating in Liverpool but based in London from the early 20th century. It merged with Sun Alliance in 1996 to form the Royal & Sun Alliance Insurance Group.
On 11 March 1845, a group of prominent Liverpool merchants and businessmen formed a joint stock fire and life association called Royal; within nine days they were advertising an offer to subscribe. It was constituted under a deed of settlement dated 31 May 1845.[1] The business was intended to be almost entirely fire insurance for although the Royal was authorised to accept life assurance, that very much took second place. The first Charman was Josias Booker,[2][3] a plantation owner and founder of Booker Brothers. Other directors included Charles Turner (MP), Chairman of the Mersey Docks and Harbour Board; John Bramley-Moore, merchant and future Lord Mayor of Liverpool; Thomas Horsfall, first chairman of the Liverpool Chamber of Commerce and later Mayor and MP; and Thomas Booth, chairman of N Waterhouse & Sons, leading cotton brokers.[4]
On the death of Percy Dove in 1868, he was succeeded by John McLaren. He had joined Royal in 1856 as Assistant Secretary and was appointed general manager at the age of 41. He remained in office until his death in 1893. During his time fire premiums rose from £460,000 to over £2 million and life insurance premiums from £194,000 to £380,000. McLaren had vowed not to make any acquisitions until premiums exceeded £1 million and they reached that level in 1888. He then embarked on acquisitions that substantially increased the size and importance of Royal Insurance. First came the National Fire Insurance, and the Brighton and Sussex Fire Insurance in 1889 but the transforming acquisition was that of the Queen Insurance in 1891.[1] Queen Insurance was already operating on a worldwide basis and the acquisition, which required an Act of Parliament, made the Royal the largest fire insurance company in the world.[4][6]

An enduring characteristic of the Royal has been its growth through mergers and acquisitions. In 1891 the company absorbed the Queen Insurance Company by exchange of shares. The chairman of the Queen told shareholders that they were to be admitted into partnership with a company second to none in the world, which possessed a magnificent, safe, and progressive business. Ten years later, the Kent Fire, the United Kent Fire, and the Lancashire (fire and life) insurance companies had all been acquired. When the British and Foreign Marine and the British Engine companies were added a few years later, the Royal was in a position to write all classes of nonlife insurance and life insurance. The only exception to this was industrial life business, whereby premiums are collected by a representative of the insurance company, on a weekly, fortnightly, or monthly basis. In 1919, the biggest merger in British insurance history took place when the Royal acquired the enormously successful Liverpool and London and Globe Insurance Company. The latter was established in Liverpool in 1836 as the Liverpool Fire and Life Insurance Company and had risen to an eminent position principally through acquisition. In 1847 it purchased the business of the London, Edinburgh and Dublin Insurance Company and in 1864 it merged with the long-established Globe Insurance Company. The Royal and the Liverpool and London and Globe were the major provincial insurance companies of the late 19th century. The Liverpool had a greater share of the British and colonial markets than the Royal.
In 1987 the new managing director, Peter Duerden, instigated a new four-year reorganization program for Royal Insurance (UK) called Operation Staying Ahead. Company representatives and a team of management consultants completely overhauled the personal insurance, commercial insurance, organizational and personal resources, and electronic systems of the company, in order to make it more responsive to developments in the market, particularly those caused by the revolution prompted by the 1986 Financial Services Act. Changes involved the replacement of the old system of 60 administrative branches with 12 area branches, each accountable for its own profit figures. Product marketing was henceforthto be fused with product development. Increased training was to be made available to staff, after it had been reassessed. Finally, over £20 million was to be spent on computer systems.

A home owner (Lillian Norris) and her subrogated insurance carriers (Royal Insurance Company and North River Insurance Company) joined as plaintiffs in a suit against a general contractor (Desert Refrigeration) to recover damages. The contractor had been hired to remove the existing evaporation-type air cooler and install new refrigeration equipment in the Norris home. It is claimed that the work was negligently done, causing the home to be flooded. By third-party complaint the defendant general contractor impleaded its subcontractor (Center Air), who had been engaged by the general contractor to do the work. The predicate for the claim over was that the plaintiffs' loss was due to the sole negligence of the subcontractor. An express contract of indemnity was not pleaded. Following trial, the lower court found that both the contractor (the defendant) and the subcontractor (the third-party defendant) had been negligent, the former in failing to supervise, and the latter in the manner of doing its work. It entered judgment for the plaintiffs against the defendant and the third-party defendant (though the latter was never named as a defendant in the plaintiffs' case), treating them as though they had been sued jointly as tort-feasors. It also denied the general contractor (defendant and third-party plaintiff) any relief on its claim over against the subcontractor (third-party defendant).
